The Senior Legal Counsel is responsible for supporting and advancing LDC’s business of grains export by identifying and managing end to end legal risks associated with its various commercial operations, from origination through logistics and to export. Demonstrating solid experience in commercial contracts, international trade including customs regulations and currency controls, as well as disputes under GAFTA/FOSFA, he or she will ideally also have experience in taxation and corporate governance, with exposure to, and familiarity with, M&A transactional work being an advantage. Leveraging their foregoing expertise, he or she will ensure that management is properly informed on all relevant legal implications in order to enable them to make key business decisions in the context of LDC’s global footprint. The Senior Legal Counsel will have to manage a wide range of litigations and provide responses to government inspections to protect LDC’s legitimate interests.

  • Legal support for core international trading business and internal functions, including Logistics, Finance, Treasury, Industry, HR, IT, etc.
  • Keeping contract templates for core business operations up-to-date, making sure all relevant employees have proper knowledge and skills to work with contracts. Support the business during commercial negotiations, bringing experience and advice and ensuring best in class legal service.
  • Leading legal work on M&A transactions, working across the business to deliver on a range of activity including acquisitions and joint ventures.
  • Drafting, reviewing and negotiating a wide range of documents for trading transactions, including security documents (guarantee, mortgage, pledge of shares, blocking, pledge of property rights).
  • Control and coordination of external advisers, track and report litigations.
  • Experience (including number of years):
  • 7+ years’ experience as an in-house legal professional, preferably in multinational corporate sector. International commodities trading or agri sector background is strongly preferred.
  • Experience with tax law and tax disputes.

 

Knowledge and Skills:

  • Good project management skills, consistency and result focused approach.
  • Strong analytical and research skills.
  • Must be able to interact with and develop productive relationships with senior management and business leaders, to become a trusted partner and take and be accountable for independent decisions where needed.
  • Ability to effectively apply a commercial mindset to legal issues in order to  analyse, question assumptions and clearly communicate proposed solutions for optimal outcome to the business.
  • Ability to learn quickly, work fast and independently with minimal supervision, and lead by example within a strong team environment.
  • Strong influencing, collaboration and negotiation skills.
  • Proactiveness, positive “can-do” attitude, entrepreneurial and business-focused approach is a pre-requisite for working in the LDC Legal Team.

Education:

  • University degree in Law
