This role supports North America entity governance and records and sits within LDC’s Legal Department, reporting to the Chief Legal Officer for North America.
This position prepares and maintains corporate minute books, drafts corporate resolutions, prepares and files required corporate documents in the US and Canada, manages “Know Your Customer” (KYC) and beneficial ownership reporting, and partners with Finance, Tax, Credit, and Compliance to keep filings timely and accurate.
Key Responsibilities
Corporate Governance and Records
- Draft resolutions and minutes for meetings and transactions, including mergers, recapitalizations, restructurings, and liquidations.
- Keep historical binders for dissolved, liquidated, or terminated entities.
- Coordinate annual report and franchise tax filings in the US and Canada with external providers and firms.
- Assist with intellectual property related filings (trademarks, patents).
Filings and Authorizations
- Prepare formation, qualification, assumed name, and corporate renewal documents; coordinate submissions with external providers and firms.
- Prepare secretary certificates, certificates of incumbency and authorized signers; support Banking Committee documentation.
- Retrieve and distribute service of process as received.
KYC and Corporate Reporting
- Assemble standardized KYC packages for operating and platform entities and updates the global KYC site.
- Coordinate FinCEN and Corporate Transparency Act reporting, including state specific requirements such as New York State CTA.
Cross Functional and Notarization Support
- Prepare and review documents for Tax, Finance Treasury, and Credit onboarding
- Manage legalization, apostille, US Department of State, and embassy processes; serve as registered Connecticut Notary

Qualifications
- 7 or more years of relevant experience in a law firm or in house corporate legal environment, with hands on responsibility for entity governance and corporate records, including service of process, apostille and legalization matters, and KYC reporting, a plus.
- Registered Connecticut Notary; strong organization, attention to detail, and follow through
- Delaware corporate law knowledge a plus
- Proficiency with Microsoft Office and SharePoint
