We are currently recruiting for an experienced Senior Legal Counsel to join their team based in Abbotsford. This role will be reporting to management based in Singapore and will have a strong degree of autonomy so excellent judgment and commercial & business orientated mindset is essential to provide sound and efficient advice to our platform leaders and functional teams.
LDC’s lawyers typically manage their assignments themselves and will be expected to liaise with the appropriate business personnel themselves and handle their own drafting, rather than rely on external law firms to do the heavy lifting. If LDC does work with an external law firm however, this position will need to supervise that law firm effectively.
Key responsibilities will be but not limited to -
- Review, draft and advise on all legal issues facing the Australian platforms including commercial contracts (including confidentiality, agency, consultancy, property leases, trading, warehousing, logistics and procurement contracts as well as offtake agreements and sale and purchase contracts for various commodities), HR issues, company policies and other legal issues facing LDC.
- Provide ad hoc day to day legal advice to the platforms & management.
- Work in close partnership with LDC’s SSEA regional legal team, manage the legal aspects of Australian M&A projects (including asset or entity acquisitions/disposals, entry & exit of joint ventures) including provision of legal advice to management & platforms and negotiation and review of transaction documentation.
- Oversee corporate secretarial matters in partnership with our regional corporate group.
- Work closely with senior country and SSEA regional management, regional legal department leadership and key stakeholders, overseeing and ensuring the delivery of high quality legal services, safeguarding legal compliance and protecting LDC against potential reputational risk.
- Advise the boards and management on corporate governance issues.
- Work close partnership with LDC’s SSEA regional and global legal teams, manage the use of external law firms and related costs.
Experience
Experience |
- Minimum 8 years PQE gained in a recognized law firm, or an agricultural, food and commodity company
- Strong experience in handling a high volume of multiple projects simultaneously
- Experience with negotiations amongst different stakeholders (local and international)
- Law degree
- Admitted to practice law in any Australian state
