Chatbot Terms of Use
1. Introduction and Purpose
These Terms of Use of Chatbot (“Terms”) govern the use of chatbot (“Chatbot”) are issued by Louis Dreyfus Company B.V., of Westblaak 92, Rotterdam 3012, The Netherlands, as operator of the Chatbot on behalf of itself and each of the companies in the Louis Dreyfus Company Group of companies (“LDC”). The Chatbot is hosted in Switzerland by Louis Dreyfus Company Suisse S.A., Swissair Centre – 29, Rte de l’aéroport – Case postale 236 – 1215 Geneva 15 / Switzerland on behalf of Louis Dreyfus Company.
This Chatbot was designed to support LDC’s Food & Feed Solutions platform (“FFS”) in its relationship with all visitors from the LDC’s website (“Users”) aiming at improving internal operational, informational and communication processes involving the commercialization of lecithin, glycerin, and canola oil products (“FFS Products”). By making the Chatbot available to the Users, LDC intends to ensure efficient, compliant, and secure interactions between LDC and the Users are maintained, in line with best international standards and applicable laws. Occasionally, the interactions may be transferred to the Account Manager.
2. Definitions
For the purposes of these Terms:
(i) “Account Manager”: means the designated individual responsible for overseeing and managing the FFS Products portfolio within the User’s region.
(ii) “Applicable Data Protection Laws“: means all laws and regulations relating to the processing of Personal Data including without limitation (a) the General Data Protection Regulation (EU) 2016/679 and any national implementing laws, regulation(s) and secondary legislation (“GDPR”), , in each case including any regulations issued under it and as may be amended, superseded or replaced from time to time.
(iii) “LDC’s Privacy Policy”: means LDC’s Data Privacy Policy available at https://www.ldc.com/privacy-policy/.
(iv) “Personal Data“: is defined under the GDPR.
(v) “Sanctioned Countries” mean any jurisdiction officially designated international sanctions as published by competent authorities, including but not limited to the United Nations Security Council, the European Union, and the United States Department of the Treasury (Office of Foreign Assets Control – OFAC). Terms and expressions used in these Terms and not defined herein have the meanings assigned to them in Applicable Data Protection Laws.
3. Scope of Use
The Chatbot shall be used solely for legitimate commercial purposes related to the FFS Products.
4. Agreement and rules
4.1. By using the Chatbot, Users automatically agree to:
(i) use the Chatbot only for lawful purposes and in accordance with these Terms;
(ii) avoid sharing sensitive data within the Chatbot;
(iii) not use the Chatbot for illegal, defamatory, abusive, obscene, or infringing purposes;
(iv) not interfere with or disrupt the operation of the Chatbot; not provide false or misleading information to the Chatbot.
4.2. LDC reserves the right to restrict or terminate access to the Chatbot if misuse or violation of these Terms are identified.
5. Disclaimers and Limitation
5.1. AI-Generated Responses. This Chatbot uses artificial intelligence to generate responses based on User input. It may occasionally produce inaccurate, incomplete, or imprecise information. Please verify any critical details through official sources or contact directly an Account Manager.
5.2. FFS Product Information. FFS Products descriptions, features, availability, and any information shared by this Chatbot are subject to change without notice and may vary. For the most accurate and up-to-date information, please refer to the official product documentation or contact an Account Manager.
5.3. No Professional Advice. Responses do not constitute legal, financial, technical, or professional advice. For specific concerns, refer to the product documentation and/or contact an Account Manager.
5.4. No Contractual Relationship. Interactions with the Chatbot do not create any contractual obligations. All agreements must be concluded by contacting the Account Manager.
5.5. Data Processing. The Chatbot may collect and process data to improve User’s experience. Please refer to LDC’s Data Privacy Policy..
5.6. User Responsibility. Users bear full responsibility for decisions made based on Chatbot interactions.
5.7. Limitation of Liability. LDC shall not be liable for any amount or kind of loss or damage that may result to you or a third party (including without limitation, any direct, indirect, exemplary, punitive or consequential loss or damages, or any loss of income, profits, goodwill, data, property, contracts, use of money, or loss or damages arising from or connected in any way to the use of the Chatbot or reliance on the information provided therein, and whether in tort (including without limitation negligence, contract or otherwise) even if LDC has been advised of the possibility of such damages or losses, arising out of or in connection with the Chatbot in any way or arising out of or in connection with the use of the Chatbot.
5.8. Service Provided “As Is”. The Chatbot and all outputs are provided on an ‘as is’ and ‘as available’ basis, without warranties of any kind or nature.
6. Confidentiality
6.1. All information exchanged through the Chatbot shall be deemed non-confidential. The Chatbot is intended solely for general informational purposes and must not be used to transmit proprietary, sensitive, or confidential data. LDC does not undertake obligation to safeguard information shared by Users within the Chatbot beyond the scope defined in its LDC’s Privacy Policy. Users remain fully responsible for ensuring that any data provided complies with theseTerms.
6.2. Users shall treat as strictly confidential any proprietary or sensitive information disclosed by LDC during interactions with the Chatbot. Such information must not be shared nor reproduced and shall be handled in full compliance with these Terms.
7. Intellectual Property
The intellectual property rights in the Chatbot, and in any text, images, video, audio or other content, software or other information or material submitted to or accessible from the Chatbot (the “Content”) are owned by LDC and LDC’s licensors.
Nothing in these Terms grants the User any legal rights in the Chatbot or the Content other than as necessary to access it. Users agree not to adjust, try to circumvent or delete any notices contained on the Chatbot or the Content (including any intellectual property notices) and in particular, in any digital rights or other security technology embedded or contained within the Content.
LDC’s trade marks and other trade marks and trade names may also be used on the Chatbot or in the Content. Use by the User of any trade marks within the Chatbot or in the Content is strictly prohibited unless the User has LDC’s prior written permission.
8. Privacy and Data Protection
Any personal information that the User provides to us will be processed in compliance with Applicable Data Protection Laws and in accordance with LDC’s Privacy Policy.
9. Restricted Access for Sanctioned Countries
LDC reserves the right, at its sole discretion, to restrict or deny access to the Chatbot for any individual or entity located in, or acting on behalf of, countries, regions, or organizations subject to international trade sanctions or embargoes. This restriction is implemented to ensure strict compliance with applicable laws, regulatory requirements, and LDC’s internal policies. By using the Chatbot, Users represent and warrant that they are not located in, or acting on behalf of, any Sanctioned Country.
10. Changes to Terms
These Terms may be updated periodically to reflect changes in legislation or LDC’s practices.
11. Governing Law and Jurisdiction
The Swiss courts will have non-exclusive jurisdiction over any claim arising from, or related to, a visit to our site, although we retain the right to bring proceedings against you for breach of these Terms of Use in your country of residence or any other relevant country. These terms of use are governed by Swiss law, to the exclusion of its conflicts of laws rules.
12. Consent
By using the Chatbot, Users confirm that they have read, understood, and accepted these Terms and the terms of LDC’s Privacy Policy.
